U.K.’s Competition and Markets Authority, or CMA, states that the Adobe merger with Figma “may be expected to result in a substantial lessening of competition within a market or markets in the United Kingdom. This merger will be referred for a phase 2 investigation unless the parties offer acceptable undertakings to address these competition concerns.” CMA further states that the Merger “meets the threshold for reference to an in-depth phase 2 investigation, giving rise to a realistic prospect of a substantial lessening of competition in the supply of: (1) screen design software, and (2) several types of creative design software, namely vector editing, raster editing, video editing, and motion design.”
