American Axle, Dowlais announce expiration of HSR Act waiting period

American Axle (AXL) and Dowlais announced the expiration of the waiting period under the U.S. Hart-Scott-Rodino Antitrust Improvements Act of 1976 for the proposed combination of Dowlais with AAM. The expiration of the waiting period under the HSR Act satisfies one of the conditions to closing the combination. Filing processes in other jurisdictions are progressing and the combination is expected to close in the fourth quarter of 2025, subject to satisfaction of the remaining conditions as set out in the Rule 2.7 announcement released by AAM and Dowlais on January 29.
