Global Systems Dynamics (GSD) has released an update to notify the public and investors about a termination of a material definitive agreement.
Global Systems Dynamics, Inc. and DarkPulse, Inc. mutually agreed to terminate their Business Combination Agreement on January 23, 2024. Initially, both companies had planned to merge, with DarkPulse becoming a wholly-owned subsidiary of Global Systems Dynamics, Inc. A prior amendment had extended the deadline to complete the merger to February 9, 2024, but with no additional extensions, the agreement was ultimately canceled. Details of the agreement and its termination had been previously reported to the SEC.
