On June 5, 2024, Upland Software, Inc. stockholders, at their Annual Meeting, endorsed the 2024 Equity Plan, which allows for over 3 million shares of Common Stock to be issued for various incentive awards to key employees and advisors. This plan, effective the same day, replaces the previous 2014 Equity Incentive Plan. Additionally, stockholders elected two Class I directors, ratified Ernst & Young LLP as the independent auditor, approved executive compensation on an advisory basis, and passed the 2024 Tax Benefit Preservation Plan. With a 79% quorum, these decisions signal strong stockholder participation and direction for the company’s future.
