Top KingWin Ltd. has entered into a Securities Purchase Agreement to issue convertible notes worth up to $2.5 million, which can be converted into ordinary shares. Investors participating in this agreement will buy the notes at a discount, paying approximately $900 for every $1,000 of principal amount. This move aims to capitalize on exemptions from securities registration under the U.S. Securities Act.
