Siebert Financial Addresses Compliance and Filing Delays

Siebert Financial (SIEB) has shared an update.

Siebert Financial Corp. has been notified by Nasdaq that it is out of compliance with listing rules due to a delay in filing its annual report for 2023. The company is working to resolve identified deficiencies in its internal control over financial reporting, which has caused the delay. Siebert expects to file the overdue report with an unqualified audit opinion and believes it will regain compliance within Nasdaq’s grace period. Meanwhile, it plans to suspend its use of Form S-3 registration statements due to the filing delay. The company’s recent press release, which discusses these issues and contains forward-looking statements, is not considered filed under federal securities law but is provided for informational purposes.
