The agreement, involving connected companies within the corporate family, is executed on terms comparable to or better than those from independent third parties, ensuring fairness and reasonableness. Although the deal does not require independent shareholder approval, it is subject to reporting and announcement guidelines due to its nature as a continuing connected transaction.
