Noodles & Company has entered into a Support Agreement with Hoak & Co and Britain Peakes, leading to Peakes’ appointment to the company’s Board of Directors as a Class III director. The agreement includes provisions for Peakes’ nomination for the upcoming 2025 stockholders’ meeting, standstill and voting commitments from Hoak, and non-disparagement clauses. Peakes, who has no prior relationships with the company’s executives, will be compensated as per the non-employee directors’ program, excluding the annual cash retainer which will go to Hoak. The company has announced Peakes’ appointment in a recent press release.
