Lachlan K. Murdoch, a significant shareholder and director of News Corporation, took part in transactions involving the company’s Class A Common Stock on October 1, 2024. Murdoch dealt with deferred stock units that settled for cash equivalent to shares of News Corp’s Class A stock, with the transactions possibly related to strategic financial planning under Rule 10b5-1(c). These stock units will become payable either at the end of a five-year period following the grant or upon Murdoch’s cessation of director service.
