MTI Ltd. has decided to transfer its IT services business for the sports and exercise sector, known as the CLIMB Factory Business, to Climb Factory Co., Ltd. through a simplified absorption-type company split set to take effect on November 1, 2024. The decision aligns with MTI Ltd.’s strategy to concentrate on healthcare and school digital transformation (DX) initiatives, optimizing management resources. Climb Factory will provide an agreed consideration of 5,530 thousand yen for the business, with no changes to MTI Ltd.’s capital stock.
