He does not have any undisclosed financial arrangements and will be compensated per the company’s existing policies. Concurrently, directors Timothy O’Brien and Charles S. Pearson, Jr. have resigned without any disputes, prompting the Board to downsize and name Francis Kavanaugh as the new Chair, all effective June 26, 2024.
