Kernel Group’s Strategic Merger and Corporate Restructuring

Kernel Group Holdings (KRNL) has shared an announcement.

Kernel Group Holdings, Inc., a company initially incorporated in the Cayman Islands, has amended its Business Combination Agreement multiple times to merge with AIRO Group, Inc., leading to a significant corporate restructuring. This includes changing its jurisdiction of incorporation to Delaware, merging Kernel Merger Sub into Kernel, and then AIRO Merger Sub into AIRO, ultimately making both subsidiaries of ParentCo. The SEC has declared the registration statement for this transaction effective, and the move is anticipated to bring about revenue growth and orders for AIRO Group’s eVTOL aircraft. This complex transaction is aimed at enhancing the company’s market position and is subject to shareholder approval and other customary closing conditions.
