Shareholders voted in a virtual format, with a quorum of approximately 64.82% of the outstanding shares present. Notably, all director nominees were elected, Marcum LLP was ratified as the independent auditor, and amendments were passed to increase the number of shares for the 2023 Stock Plan. Additionally, significant proposals concerning stock issuance for convertible notes, warrants, and a potential reverse stock split were approved, along with an increase in authorized shares. Only one proposal, regarding the removal of a majority vote requirement, did not pass.
