Heartland Financial USA (HTLF) has shared an announcement.
On April 28, 2024, Heartland Financial USA, Inc. (HTLF) and UMB Financial Corporation announced a merger agreement, where HTLF will become a wholly owned subsidiary of UMB, followed by a merger of their respective banking subsidiaries. Shareholders of HTLF will receive 0.55 shares of UMB stock for each HTLF share, plus cash for fractional shares. The merger is subject to approval by both companies’ shareholders, regulatory consents, and other customary conditions. The deal also includes provisions for the treatment of HTLF’s equity awards and the composition of the post-merger board of directors, aiming to combine the strengths of both organizations and enhance shareholder value.
