GoodRx Holdings Board Restructure and New Director Induction

The latest announcement is out from GoodRx Holdings (GDRX).

GoodRx Holdings, Inc. has announced the election of Ian T. Clark to its Board of Directors, filling the vacancy left by Stephen LeSieur. Clark, deemed independent under Nasdaq rules, will serve as a Class III director until the 2026 Annual Meeting and has been appointed Chair of the Innovation Committee. He has received stock-based compensation worth over $600,000 subject to continued service, in line with the company’s director compensation program. Additionally, the Board has restructured its committees, merging the Audit and Compliance Committees into a single Audit and Risk Committee and establishing a new Innovation Committee.
