Fresh Vine Wine Inc (VINE) has shared an announcement.
Fresh Vine Wine, Inc. and Notes Live, Inc. had planned a merger that was terminated on July 31, 2024, as both companies mutually agreed to end their agreement without any termination fees. Before the termination, key individuals from both companies had entered into lock-up and support agreements to restrict stock transfers and ensure voting in favor of the merger. With the merger agreement’s termination, these additional agreements also ended, except for certain conditions that survived the termination. The cancellation of the planned merger was publicly announced on August 1, 2024.
