Endeavor Group Transfers Key Assets to TKO

The latest announcement is out from Endeavor Group Holdings Inc ( (EDR) ).

Endeavor Operating Company is set to transfer its Professional Bull Riders, On Location, and IMG businesses to TKO in exchange for TKO common units worth $3.25 billion. This transaction, expected to close in the first half of 2025, will require regulatory approval and the fulfillment of certain conditions. The deal includes customary representations, warranties, and covenants, as well as indemnification provisions. Amendments have been made to executive agreements, impacting bonuses tied to asset sales, contingent on the transaction’s completion.
