On July 29, 2024, the Company’s Board expanded from six to seven directors, appointing Gordon B. Fowler, Jr. as the new independent director based on the Nominating and Governance Committee’s recommendation. Mr. Fowler also joined the Audit, Compensation, and Nominating and Governance Committees, with his term running until the 2025 annual shareholders meeting. He has no conflicting interests or familial ties with other directors or officers within the Company. For his service, he will receive $86,250 in cash and $30,000 in quarterly fees, aligning with standard director compensation.
