Cogent Communications Holdings, Inc. is set to launch a private placement offering of $300 million in senior notes due 2027, primarily to qualified institutional buyers. These 7% senior notes, not registered under the Securities Act of 1933, will be guaranteed by the company and certain subsidiaries, with the proceeds aimed at repaying existing agreements and general corporate purposes, including potential dividends. The success of this offering is uncertain, and it is not open to the public nor in areas where such transactions are prohibited.
