Biomotion Sciences’ Strategic Merger and Corporate Restructuring

Biomotion Sciences (SLXN) has provided an announcement.

Moringa completed its planned merger with Merger Sub 2, becoming a wholly owned subsidiary of New Pubco, and its securities were adjusted accordingly. The merger prompted corporate leadership changes and the adoption of new company articles. Additionally, Moringa and New Pubco announced to Nasdaq the effectiveness of their business combination, leading to the delisting and deregistration of Moringa’s securities. New Pubco’s shares and warrants began trading on Nasdaq, while Moringa prepared to deregister its securities with the SEC. Concurrently, a significant private share purchase occurred just before the merger’s completion.
