Stockholders do not need to act if they do not wish to change their vote, and those who have sold their shares after the record date are still eligible to vote. The Company and iLearningEngines, along with their directors, executive officers, and other employees, may be participants in the solicitation of proxies for the Proposed Business Combination. No offer or solicitation of securities is made by this report, which is related to the Proposed Business Combination between Arrowroot and iLearningEngines. The transaction will be presented to the Company’s stockholders, and detailed information will be available in the Registration Statement and proxy statement/prospectus filed with the SEC.
